Terms of Service

By creating an account, accessing, or using the Leadify Labs platform and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization. If you do not agree to these Terms, you must not access or use our Services. We reserve the right to refuse service to anyone for any reason at any time.

To access most features of the Services, you must register for an account. When you register, you agree to: - Provide accurate, current, and complete information during the registration process. - Maintain and promptly update your account information to keep it accurate and current. - Maintain the security and confidentiality of your login credentials and not share them with any third party. - Accept responsibility for all activities that occur under your account. - Notify us immediately at security@leadifylabs.com if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that contain inaccurate information, are used for unauthorized purposes, or violate these Terms. You must be at least 16 years old to create an account and use our Services.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not: - Use the Services to store, transmit, or process data that violates any applicable law or regulation. - Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services. - Use the Services to send unsolicited commercial communications (spam) or in violation of anti-spam laws such as CAN-SPAM or GDPR. - Interfere with or disrupt the Services, servers, or networks, including through the introduction of viruses, malware, or denial-of-service attacks. - Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services. - Resell, sublicense, or redistribute the Services without prior written authorization from Leadify Labs. - Use the Services to build a competing product or service. - Scrape, data mine, or use automated tools to extract data from the Services beyond what is permitted by our API documentation. - Upload content that infringes any third-party intellectual property rights. - Circumvent any usage limits, rate limits, or access controls implemented by Leadify Labs. We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating their account and reporting them to law enforcement authorities.

**Subscription Plans:** The Services are offered under various subscription plans as described on our pricing page. Plan features, pricing, and limits are subject to change with 30 days' prior notice. **Billing:** Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle. Annual subscriptions receive a discounted rate as advertised. **Payment Methods:** We accept payment via credit card, debit card, and wire transfer (for annual Enterprise plans). All payments are processed securely through our payment processor, Stripe. **Taxes:** Listed prices do not include applicable taxes. You are responsible for paying any taxes, duties, or government levies associated with your subscription, except for taxes based on our net income. **Late Payments:** If payment fails or is overdue, we may restrict access to your account after a 7-day grace period and written notice. Accounts with payments overdue by more than 30 days may be suspended. **Refunds:** Monthly subscriptions may be canceled at any time and will remain active until the end of the current billing period. We do not offer prorated refunds for partial months. Annual subscriptions may be eligible for a prorated refund within the first 30 days. After 30 days, annual subscriptions are non-refundable but will remain active for the remainder of the term. **Price Changes:** We may adjust pricing for our Services. For existing customers, price changes will take effect at the start of the next billing cycle following at least 30 days' written notice.

**Our IP:** The Services — including all software, designs, text, graphics, logos, trademarks, and other content — are owned by Leadify Labs Inc. and are protected by United States and international intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited license to use them as described herein. **Your Data:** You retain all rights, title, and interest in the data you upload, create, or store through the Services ("Your Data"). By using the Services, you grant Leadify Labs a limited, non-exclusive license to process Your Data solely for the purpose of providing and improving the Services. **Feedback:** If you provide suggestions, feature requests, or other feedback about the Services, you grant Leadify Labs a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Services without obligation to you. **AI-Generated Content:** Content generated by our AI features (email drafts, summaries, forecasts) is provided for your use. You are responsible for reviewing and using such content in compliance with applicable laws.

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. **Data Processing:** For customers in the European Economic Area (EEA) or United Kingdom, we act as a data processor for Your Data and will enter into a Data Processing Agreement (DPA) upon request. **Data Security:** We implement industry-standard security measures to protect Your Data, including AES-256 encryption at rest, TLS 1.3 encryption in transit, and SOC 2 Type II certified infrastructure. For details, see our Security page. **Data Portability:** You may export Your Data at any time through our built-in export tools or API. Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.

**By You:** You may cancel your subscription and close your account at any time through your account settings or by contacting support@leadifylabs.com. Cancellation takes effect at the end of the current billing period. **By Us:** We may suspend or terminate your account immediately if: - You breach these Terms or any applicable law. - Your use of the Services poses a security risk to us or other users. - Your account is used for fraudulent or illegal activity. - You fail to pay fees after the applicable grace period. We may also discontinue the Services (or any part thereof) with at least 90 days' prior notice to affected customers. **Effect of Termination:** Upon termination, your right to access the Services ceases immediately. You will have 30 days after termination to export Your Data. After this period, we will delete Your Data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination will remain in effect (including IP, limitation of liability, and governing law).

**Disclaimer of Warranties:** THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. **Limitation of Liability:** TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEADIFY LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. **Liability Cap:** OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO LEADIFY LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. **Exceptions:** Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

You agree to indemnify, defend, and hold harmless Leadify Labs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data you upload, store, or process through the Services that infringes or misappropriates a third party's intellectual property or privacy rights.

**Governing Law:** These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. **Dispute Resolution:** Any dispute arising from or relating to these Terms or the Services shall first be submitted to good-faith mediation. If mediation fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in San Francisco, California, and the language shall be English. **Class Action Waiver:** You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action. **Exception:** Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

**Entire Agreement:** These Terms, together with our Privacy Policy and any Order Forms or Service Level Agreements, constitute the entire agreement between you and Leadify Labs regarding the Services. **Severability:** If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. **Waiver:** Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. **Assignment:** You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. **Force Majeure:** Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, pandemics, war, or internet service disruptions. **Notices:** We may send you notices via email to the address associated with your account or through in-app notifications.
